Announcement of Changes in Directors of the Board and Executive Officers
KENWOOD Corporation (President and CEO: Haruo Kawahara; Head Office: Hachioji, Tokyo; hereinafter referred to as “the Company”) is pleased to announce the board of directors resolved to elect 9 directors and 3 statutory auditors, and decided about personnel transfer of Representative Directors of the Board, which is proposed as an agenda for the 78th General Meeting of Shareholders Shareholders to be held on June 28.
Under this proposal, 9 directors (Haruo Kawahara, Kazuo Shiohata, Hiroshi Komatsuzaki, Hiroyuki Taki, Shuntaro Tanaka, Akira Seida, Nobuo Seo, Takenori Kawafune, and Takeo Nagatomo), and 3 statutory auditors  (Hideaki Kato, Osamu Hamada, Koichi Kurosaki) shall be re-elected.
Formally decision will draw at the General Meeting of Shareholders, and the board of directors which held afterwards, on June 28.

In addition, the Company is pleased to inform the appointment, retirement and changes in Executive Officers as of June 28 because appointments of present Executive Officers become the expiration for the all the members term of office on the same day.

(1) Reason of personnel transfer
  The Company completed its revitalization, and finished many preparations to put our businesses on a new growth track. At this stage, we will leave the Company’s future management to a next-generation manager and establish a new position of Chairman.  And, under the new framework, we will enhance strategic initiatives for expanding corporate value over the medium to long term while accelerating corporate growth.
